Giveaway Terms and Conditions

GIVEAWAY OFFICIAL RULES

(the “Official Rules”)

Sponsorship. The sponsor of the Chitag Sweepstakes described in these Official Rules (the “Giveaway”) is Squaregles LLC (“Sponsor”).
Eligibility. The Giveaway is open to individuals residing in the United States who have reached the age of majority at the time of entry, subject to the eligibility requirements set forth in these Official Rules and applicable law. The Giveaway is subject to federal, state, and local laws and void where prohibited by law. Employees and directors of Sponsor and its affiliates, and any suppliers, partners, advertising, and promotion agencies involved in the Giveaway (collectively, “Employees”), as well as members of an Employee’s immediate family or household, are also ineligible to participate in the Giveaway. It is each participant’s responsibility to ensure that they are eligible to enter the Giveaway under these Official Rules and all applicable laws.
Agreement to Rules. By entering or participating in the Giveaway, the entrant (“You”) accepts and agrees to be bound by these Official Rules and Sponsor’s decisions, which are fully and unconditionally binding in all respects. By entering the Giveaway, You represent and warrant that You are eligible to participate based on eligibility requirements explained in the Official Rules. You acknowledge that the Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time in the Sponsor’s sole discretion.
Giveaway Entry Period. The Giveaway entry period runs from November 4, 2023 9 AM CST until November 5, 2023 5 PM CST (the “Entry Period”). Only entries received by Sponsor during the Entry Period will be counted to qualify You for a chance to win a Prize (as defined herein).
How to Enter. To enter the Giveaway, entrants will submit their e-mail address and subscribe to Squaregles newsletters. NO PURCHASE IS NECESSARY TO ENTER OR WIN THE GIVEAWAY. PURCHASES WILL NOT INCREASE YOUR CHANCE OF WINNING. Only one (1) entry per person is permitted. You may not tamper with or impair the administration, security, fairness or proper play of the Giveaway, including by using multiple accounts to enter the Giveaway, entering the Giveaway on behalf of anyone other than Yourself, or using bots, macros, scripts or other such technical means of entering or participating. Incomplete entries or those that do not adhere to the Official Rules will be disqualified at the Sponsor's sole discretion.
Selection and Notification of Winners. 1 winner (each, a “Winner”) will be selected to win a Prize (as defined below). The Winners will be randomly selected by Klaviyo’s Sample Tool Sponsor will notify the Winners by e-mail at the email address each Winner provided at entry, within 21 days of the conclusion of the Entry Period. To claim a Prize, each Winner must respond to Squaregles’ e-mail with their shipping dress within 5 days of receipt. The odds of winning a Prize in the Giveaway depend on the total number of eligible entries received in accordance with these Official Rules. All Winners are subject to verification by Sponsor, whose decisions are final and binding. Notwithstanding anything to the contrary herein, a Winner is not eligible to receive a Prize unless and until that Winner’s eligibility and compliance with all requirements have been verified, and the Winner has been notified that verification is complete. For a list of all Winners, please contact Sponsor using the contact information provided in Section 17 below.
Prizes. Subject to the terms and conditions set forth herein, the following prizes will be awarded to the Winners of the Giveaway: $510 worth of Squaregles products (the “Prize”). The approximate fair market value of each Prize is $510. The Prizes shall be determined solely by the Sponsor and Sponsor reserves the right to substitute the specified Prize with a prize of equal or greater value. There shall be no cash or other prize substitution permitted except at Sponsor’s sole discretion. The Winners shall not request the cash equivalent or prize substitution. Sponsor is not responsible for, and will not replace, any lost or stolen Prize or any Prize that is unable to reach a Winner because of missing, incorrect or otherwise non-functioning information. Each Winner, upon acceptance of the Prize, is solely responsible for all expenses related to the Prize, including without limitation any and all local, state, and federal taxes. Winners waive the right to assert any and all costs of transaction, verification, redemption or travel to claim or use a Prize and any liability which might arise from claiming, seeking to claim, or using a Prize. Prize fulfillment is subject to verification and eligibility restrictions as set forth herein. Receipt of the Prize offered is upon the condition of compliance with any and all federal, state, and local laws.
Forfeiture. A Winner’s failure to claim a Prize in accordance with Section 6 (or where applicable, Winner’s failure to timely provide a complete and accurate affidavit of eligibility or publicity/liability release), or the Sponsor’s determination in its sole discretion that the award of the Prize may be illegal, the Winner is ineligible, or that the Winner has violated any of these Official Rules, may result in forfeiture of the Prize in Sponsor’s sole discretion. In such event, all privileges as Winner, including any right to a Prize, will be immediately forfeited and Sponsor will have no further obligation to such person. If a Prize is forfeited for any reason in accordance with these Official Rules, an alternate Winner may be selected under the supervision of the Sponsor. Sponsor is not responsible for Winners’ failure to receive notices due to privacy settings that may cause notifications to be blocked or Winners’ failure to provide, or provision of incorrect or otherwise non-functioning, information.
Representations. You agree, and hereby represent and warrant, that (a) Your entry is not and will not be libelous, defamatory, disparaging, inappropriate, obscene, illegal or intended to abuse, threaten or harass any individual or entity; (b) Your entry and Sponsor’s subsequent use thereof does not and will not violate any rights of a third party, including any intellectual property rights, rights of privacy and rights of publicity; and (c) You will not violate the terms of use of any Third-Party Site (as defined herein) in connection with Your entry.
Rights Granted by You. By entering into the Giveaway, You understand and agree that the Sponsor, its affiliates and each of their employees, directors, officers, members, agents (including any suppliers, partners, advertising or promotion agencies involved in the Giveaway), licensees, successors and assigns (cumulatively, the “Sponsor Parties”) shall have the right to copy, screenshot, print, publish, display, broadcast, distribute, reproduce, modify, create derivative works of, perform and otherwise use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your entry and any content or intellectual property therein or therefrom, name, photo, likeness, voice, statements about the Giveaway and biographical information in connection with the Giveaway or for any news, publicity, advertising, promotional, trade, information, or public relations purposes, without any further notice, review, consent, compensation, or remuneration, regardless of whether You win a Prize, and You hereby grant the foregoing rights to such individuals and entities.
Integrity of the Giveaway.
1. In its sole discretion, the Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway (in whole or in part) if, in Sponsor’s sole determination, (1) the Giveaway is not capable of running as planned by reason of the occurrence of any event beyond its control including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications, equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Giveaway by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control; or (2) any factors beyond Sponsor’s reasonable control (such as unauthorized human intervention, technical issues, a bug or virus, fraud, tampering, or fraud) corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Giveaway. Sponsor is not and cannot be held liable for any such issues. Without limiting the foregoing, Sponsor is not responsible for (A) late, lost, delayed, damaged, postage-due, incomplete, illegible, garbled, misdirected or undeliverable entries, responses, or other correspondence, whether by email or postal mail or otherwise; (B) theft, destruction, unauthorized access to or alterations of entry materials; (C) phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties or any technical hardware or software failures of any kind, which may limit a person’s ability to participate in the Giveaway; or (D) any printing errors or instances of tampering which impact the Giveaway.
2. Sponsor, in the event of any of the above issues, may determine the Winners based on all eligible entries received prior to and/or after (if appropriate) the occurrence of the issue. In its sole discretion, Sponsor has the right to take any lawful and appropriate steps to maintain the integrity of the Giveaway, such as voiding entries for any reason. Attempts by any entrant to deliberately damage or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.
Personal Information. Sponsor Parties may collect and process certain personal information and other data in accordance with its privacy policies or as may be more specifically set forth in these Official Rules. Please review these Official Rules and Sponsor’s privacy policy, which can be found at: https://squaregles.com/policies/privacy-policy. Specifically, Sponsor Parties may collect and process certain personal information and other data, including e-mail addresses and phone numbers for SMS marketing, in order to administer the Giveaway, award prizes and facilitate future engagement with the Sponsor’s activities. You hereby affirmatively consent to this collection and processing of data. You acknowledge that if You do not consent to this collection and processing of data, You must not enter the Giveaway.
Third-Party Sites. Sponsor may rely on third-party platforms, including Carrd, Hubspot, Klaviyo and Shopify to host, administer, operate, or perform certain transactions or functions related to the Giveaway or Prizes (each, a “Third Party Site”). Sponsor does not own or control Third Party Sites. You understand and agree that your use of any Third-Party Site is subject to any terms of use and privacy policies provided by such Third Party Site. Sponsor is not a party to any such agreement. You should review any terms of use and privacy policies provided by such Third-Party Site and should make whatever investigation is, in your sole discretion, necessary or appropriate before proceeding with any transaction with any third party. Sponsor does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Sites, or their products or services. You use all links in Third-Party Sites at Your own risk. The Giveaway is in no way sponsored, endorsed or administered by, or associated with, Carrd, Hubspot, Klaviyo or Shopify.
Governing Law and Choice of Forum. These Official Rules are governed by the laws of the State of New York without reference to rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this Giveaway or these Official Rules must be brought in Cook County, Illinois, without resorting to any form of class action, and you hereby submit to such jurisdiction.
Indemnification and Release. Your entry into the Giveaway constitutes Your agreement to indemnify, defend, hold harmless and release the Sponsor Parties from and against any and all claims, liability, illness, injury, death, litigation, loss, or damages (cumulatively, “Losses”) that may arise, directly or indirectly from, or be related to (a) Your participation in the Giveaway; (b) Your breach of these Official Rules; (c) any Sponsor Party’s use of any content or intellectual property in or from Your entry in accordance with these Official Terms; (d) a Winner’s acceptance, possession, use, or misuse of any awarded Prize or any portion thereof; (e) any type of technical failure, including the malfunction of any computer, cable, network, hardware, or software or other mechanical equipment; (f) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (g) unauthorized intervention in any part of the entry process or the promotion; (h) electronic error or human error in the promotion, administration or the processing of entries, including any printing errors; (i) the use of Your personal information collected in connection with the Giveaway or (j) Your use of or access to any Third-Party Site. For the avoidance of doubt, the release and indemnification described in this Section 15 are in addition to, and do not limit any disclaimers and limitations of Sponsor’s liability set forth elsewhere in these Official Rules (including in Section 16 below).
Disclaimers. EACH WINNER AGREES THAT THE PRIZES ARE PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE, RELATIVE TO THE VALUE, USE OR ENJOYMENT OF THE PRIZES, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) WARRANTY OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY. YOU AGREE, AS A CONDITION OF PARTICIPATING IN THIS GIVEAWAY, THAT (1) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL OUT-OF POCKET COSTS INCURRED (IF ANY) BY YOU, NOT TO EXCEED TEN USD ($10); (2) UNDER NO CIRCUMSTANCES IN ANY DISPUTE SHALL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO, PUNITIVE, INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING ATTORNEY’S FEES, WHETHER UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, INTELLECTUAL PROPERTY INFRINGEMENT, PRICE DEPRECIATION, LEGAL OR REGULATORY ENFORCEMENT, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION); (3) YOU WAIVE ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR INCREASED; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONETARY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF SUCH PROVISION.
